PROJO.COM ADDITIONAL TERMS OF SERVICE FOR SUBMISSION OF MUSIC

These Additional Terms of Service are supplemental to the Belo Interactive Terms of Service which govern your use of this web site.

1. Subject to the terms and conditions of this Agreement, you hereby grant BI a non-exclusive, irrevocable, worldwide, and perpetual license to publicly perform, distribute, transmit and otherwise use any sound recordings, musical and/or vocal works, pictures, videos, song lyrics and other other materials that you provide to BI (the “Material”), including, without limitation, for permanent storage and real-time transmission on or in connection with BI’s website located at www.projo.com (the “PROJO Site”) and by and to end-users of the PROJO Site. In addition, you hereby grant BI the right, on a royalty-free basis, to reproduce and use your name, likeness, image and voice (together with all trademark rights therein, the “Publicity Rights”)  on or in connection with the use of the Material and in any and all promotional or advertising material related thereto. You acknowledge and agree that BI has no control over the use of the Material by third party users of the PROJO Site and that BI will not be liable for any unauthorized uses of the Material by any third parties. 

2. You acknowledge and agree that you shall not be entitled to any compensation for BI’s use of the Material, as authorized hereunder. 

3. Except with respect to the license granted to BI herein, you will retain all other rights, title and interest in and to the Material, including without limitation, any and all copyright and other proprietary or intellectual property rights in and to the Material.

4. You represent and warrant that (a) you are the sole author of the musical composition featured in the Material; (b) you are the sole owner of all copyrights in the musical composition and the sound recording contained in the Material; (c) you are the sole owner of or you have the right to license the Publicity Rights; (d) you have the full right and authority to enter into this Agreement and to grant BI the rights granted in this Agreement and that no other third-party consents are required; (e) that the Material is not defamatory, libelous, pornographic or obscene, (f) that the Material will not contain any “viruses” or other information which may damage or otherwise interfere with BI’s computer systems or data or that of our customers and (g) BI’s use of the Material or the Publicity Rights as contemplated under this Agreement will not infringe or violate the rights of any third party, including without limitation, any copyright right, trademark right, or right of privacy or publicity.  These representations and warranties shall survive the termination of this Agreement for any reason.

5. You agree to indemnify and hold BI, its affiliates, and their respective officers, directors, employees, agents, successors and assigns harmless from and against any and all third party claims, demands, suits, actions, or proceedings and any and all liabilities, losses, damages, costs and expenses (including, without limitation, reasonable attorneys’ fees) arising from or relating to any breach by you of any covenant, representation and warranty made by you in this Agreement. BI shall have the right, at its sole option, to defend and/or settle any such claim, demand, suit, action, or proceeding on such terms as it deems advisable. These indemnities shall survive the termination of this Agreement for any reason.

6. This Agreement is not intended to create a partnership or joint venture between BI and you.  This Agreement constitutes the entire agreement between BI and you with respect to the subject matter contained in this Agreement, and supersedes any prior agreements, representations or understandings, whether written or oral, by the parties with respect to such subject matter and may be amended or modified only by the parties’ mutual written consent.  This Agreement shall be governed and construed in accordance with the laws of the State of Texas, without regard to its choice of law provisions.
